PLEASE READ THESE TERMS OF USE CAREFULLY. They contain a mandatory arbitration provision and a class action waiver that affect your legal rights (Section 13).
1. Acceptance of Terms
These Terms of Use ("Terms") form a binding agreement between you ("you," "Customer," or "Buyer") and Nordi Science LLC ("Nordi Science," "we," "us," or "our") governing your access to and use of nordiscience.com and any related services (collectively, the "Site"), and your purchase and use of products from the Site.
By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or purchase products.
2. Eligibility
To access the Site or purchase products, you must:
- Be at least 21 years of age;
- Be a resident of the United States;
- Be a researcher, scientist, laboratory professional, or other person with legitimate research purposes;
- Have the legal capacity to enter into a binding contract.
You represent and warrant that all of the above are true at the time you place each order.
3. RESEARCH USE ONLY — Material Acknowledgments
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
(a) All products sold by Nordi Science are intended strictly for in vitro laboratory research and educational purposes.
(b) Products are NOT drugs, dietary supplements, cosmetics, food, or medical devices, and have not been evaluated or approved by the U.S. Food and Drug Administration ("FDA") for any therapeutic, diagnostic, prophylactic, or preventive use.
(c) Products are NOT intended for, and shall NOT be used for, human consumption, human administration (oral, injection, topical, inhalation, or otherwise), veterinary use, diagnostic use, food use, or in vivo testing in humans or animals.
(d) You are a licensed researcher or professional with the technical knowledge, facility, equipment, and authority to handle research compounds safely and lawfully.
(e) You will not resell, redistribute, repackage, or transfer products to any third party who has not first agreed to these Terms in writing, and you will not market, advertise, or describe products to third parties in any manner inconsistent with their research-use-only status.
(f) You assume all risk associated with the receipt, handling, storage, and use of products in your laboratory.
(g) You are solely responsible for ensuring that your purchase, possession, and use of any product complies with all applicable federal, state, and local laws in your jurisdiction.
By placing each order, you reaffirm each of the above acknowledgments. A separate research-use acknowledgment is required at checkout.
4. Products, Pricing, and Availability
Product descriptions, specifications, images, and pricing on the Site are provided for informational purposes and may be updated, corrected, or discontinued at any time without notice. We reserve the right to limit quantities, refuse or cancel any order at our discretion, and to refuse service to any individual or entity.
Prices are listed in U.S. dollars and do not include applicable taxes, duties, or shipping charges, which will be calculated at checkout.
We make reasonable efforts to display product information accurately. However, we do not warrant that product descriptions, specifications, or pricing are error-free, and we reserve the right to correct any errors and to cancel orders placed at incorrectly listed prices.
5. Orders, Payment, and Shipping
Submitting an order constitutes an offer to purchase. No order is binding on Nordi Science until accepted and shipped. Payment is processed by our third-party payment processors. You represent that you are authorized to use the payment method you provide.
Title and risk of loss pass to you upon our delivery of products to the carrier. We are not responsible for delays caused by carriers, customs, or other circumstances beyond our reasonable control.
We do not ship to certain U.S. states for certain products. The Site will indicate at checkout whether a product is available for shipment to your address.
6. Returns and Refunds
Returns and refunds are governed by our Return Policy, which is incorporated into these Terms by reference.
7. Prohibited Uses
You agree not to:
- Use products in any manner inconsistent with Section 3 (Research Use Only);
- Use the Site for any unlawful purpose or in violation of these Terms;
- Resell or redistribute products in violation of Section 3;
- Make any representation or claim about products that suggests human use, therapeutic benefit, or comparison to FDA-approved drugs;
- Submit false or misleading information at registration or checkout;
- Attempt to access non-public areas of the Site, interfere with Site security, or use automated means to access the Site;
- Use the Site or products in any manner that could damage, disable, or impair Nordi Science.
8. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of Nordi Science or its licensors and is protected by United States and international intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent.
The "Nordi Science" name and logo are trademarks. All other trademarks are the property of their respective owners.
9. Disclaimer of Warranties
PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NORDI SCIENCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
NORDI SCIENCE MAKES NO WARRANTY THAT PRODUCTS WILL MEET YOUR REQUIREMENTS OR THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
NORDI SCIENCE EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION REGARDING THE SAFETY, EFFICACY, OR SUITABILITY OF PRODUCTS FOR ANY USE OTHER THAN IN VITRO LABORATORY RESEARCH.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NORDI SCIENCE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF NORDI SCIENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NORDI SCIENCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
11. Indemnification
You agree to defend, indemnify, and hold harmless Nordi Science and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
(a) your access to or use of the Site; (b) your purchase, possession, handling, storage, or use of any product; (c) your breach of these Terms; (d) your violation of any law or regulation; or (e) your use of any product in any manner inconsistent with Section 3.
12. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Subject to Section 13, any action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the jurisdiction and venue of such courts.
13. Mandatory Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
(a) Arbitration. You and Nordi Science agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product (a "Dispute") shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Sheridan, Wyoming before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
(b) Class Action Waiver. YOU AND NORDI SCIENCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS PROCEEDING.
(c) Exceptions. Either party may bring an individual action in small claims court for disputes within its jurisdiction. Either party may also seek injunctive or equitable relief in court for claims relating to intellectual property infringement.
(d) Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@nordiscience.com within 30 days of first accepting these Terms. Opt-out notice must include your full name, address, and a clear statement that you wish to opt out.
(e) Severability. If the class action waiver is found unenforceable, the entire arbitration provision shall be unenforceable.
14. Changes to Terms
We may modify these Terms at any time by posting an updated version on the Site. Material changes will be noticed through the Site. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force.
16. Entire Agreement
These Terms, together with the Privacy Policy and the Return Policy, constitute the entire agreement between you and Nordi Science regarding the subject matter hereof.
